Board of Directors Diversity 董事會成員多元化 董事資料 請點擊『 董事資料 』查看詳細資訊。 董事會多元化 本公司「公司治理實務守則」、「董事選舉辦法」及，就董事會成員之組成、資格及選任定有規範。 所有董事候選人採行「候選人提名制度」進行提名及資格審查，並由董事會決議通過後，送請股東會選任之。為達到公司治理之理想目標，董會整體應具備之能力如下： (1)營運判斷能力 (2)會計及財務分析能力 (3)經營管理能力 (4)危機處理能力 (5)產業知識 (6)國際市場觀 (7)領導能力 (8)決策能力。本公司多元化政策之具體管理目標及達成情形如下：董事會成員組成應考量多元化，除兼任公司經理人之董事不宜逾董事席次三分之一外，並就運作、營運型態及發展需求以擬訂適當之多元化方針，宜包括但不限於以下二大面向之標準： A.基本條件與價值：性別、年齡、國籍及文化等。 B.專業知識與技能：專業背景（如法律、會計、產業、財務、行銷或科技、專業技能及產業經歷。A.本公司注重董事會成員組成之性別平等，女性董事比率目標為25%以上，女性董事成員共3席，比率達27.27%，平均年齡59.67歲；男性成員共8席，比率72.73%，平均年齡62.75歲。全體董事成員平均齡61.91歲。獨立董事3席任期分別為0.5年及6.5年，平均年齡71.67歲。B.專業背景、專業技能及產業經歷 (1)一般董事成員：具有美國加州州立大學長堤分校經濟系、美國加州州立大學財金系、美國東密西根大學、美國華盛頓州立大學、及其他學校會統系、機械工程等專業背景、專業技能及產業經歷之成員所組成。 (2)獨立董事成員：具有國立政治大學會研所碩士、逢甲大學企業管理學系、中原理工學院化工系、會計師資格、國立台北商業大學會資系兼任副教授、台北市進出口商業同業公會秘書長等專業技能之成員所組成。 (3)董事會成員多元化基本組成及專業能力請參閱註1。 董事會獨立性 董事成員僅姜筱梅董事與姜守正董事為姐弟關係，符合證券交易法第 26-3 條董事間應有超過半數之席次，不得具有配偶、二親等以內之親屬關係；獨立董事有 3 人，符合證券交易法第 14-2 條人數不得少於 2 人，且不得少於董事席次五分之一之規定。註1：董事會成員基本組成及專業能力

XXXXXXXXXXXXXX 董事會成員及重要管理階層之接班規劃 董事會成員之接班計畫及運作： 運作方式依本公司「薪資報酬委員會組織規程」辦理。本公司董事選任係依據「公司章程」採候選人提名制度，依據「公司治理實務守則」落實董事會成員多元化政策，目前董事共 11 名(含獨立董事 3 名)，具備多元互補之產業經驗及金融、財務、會計、國際行銷、機械、化工等專業能力。其中 5 人兼任本公司高階管理階層，未來本公司董事會之組成架構及成員經歷背景將延續目前架構。關於董事會之接班規劃，本公司培育高階經理人進入董事會，使其熟悉董事會運作及集團各單位業務，並透過工作輪調的方式深化其產業經驗。除考量多元化，兼任公司經理人之董事不逾董事席次三分之一，並注重性別平等，女性董事提升至 3 名，占比從 18.18%提升至27.27%。本公司同時明定「董事會績效評估辦法」，藉由績效評估之衡量項目，包括公司目標與任務之掌控、職責認知、營運之參與、內部關係經營與溝通、專業職能與進修、內部控制及具體意見表述等，以確認董事會運作有效，與評定董事績效表現，以作為日後遴選董事之參考。現任董事長姜明理先生於 98 年加入經營團隊，擔任工廠特別助理深耕基層，於 97 年進入董事會，於 110 年接任董事長職務。 重要管理階層之接班規劃： 本公司重要管理階層，負責組織內相關經營管理業務，各管理層級皆設有職務代理人。為培育重要管理階層及其職務代理人，培訓機制設計上除專業能力、公司治理相關課程外，亦安排參與內部重要經營管理會議。本公司每年執行員工績效考核，透過績效評估，了解個人發展需求及公司期望，以作為日後接班規劃之參考。現任總經理姜明德先生於 92 年加入關係企業，歷練豐富產業資歷完整，先後擔任企業副總經理、總經理、董事長及海外子公司副執行長，於 111 年接任大華母公司總經理職務。
